Operator: SOUTH AND NORTH LIMITED (“Infomate”, “we”, “us”, “our”)
Platform: Infomate.co.nz and any related websites, pages, tools, features, and services (collectively, the “Platform”)

By accessing or using the Platform, you agree to be bound by these Terms & Conditions (“Terms”).
If you do not agree, you must not access or use the Platform.
0. Definitions

“User” / “you” means any individual or entity that accesses or uses the Platform.

“User Content” means any content, data, text, images, videos, listings, advertisements, comments, messages, links, or other materials uploaded, posted, submitted, or otherwise made available by a user.

“Third-Party Content” means content provided by other users or external third parties.

“Listing” means any advertisement, offer, or marketplace post made by a user (governed additionally by Marketplace Terms).
1. Platform Nature – Information Display Only
1.1 Platform Role
Infomate is an information display and content publishing platform.
We provide technical tools and online space that allow users to publish, display, and access information.
Infomate:
-
does not verify, endorse, approve, guarantee, or assume responsibility for any User Content or Third-Party Content;
-
does not act as a seller, reseller, supplier, broker, agent, representative, or intermediary for users;
-
is not a party to any transaction, agreement, communication, or dispute between users or between users and third parties;
-
does not provide the goods or services advertised or described by users.
1.2 User Risk & Reliance
Any reliance on information obtained through the Platform is entirely at your own risk.
You are solely responsible for conducting your own checks before interacting with other users, including verifying identity, legality, quality, safety, pricing, and suitability.
1.3 No Professional Advice
Content available on the Platform does not constitute legal, financial, medical, or professional advice of any kind.
2. User Content & Legal Responsibility
2.1 Sole Responsibility
You are solely responsible for all User Content you upload, publish, or make available on the Platform and for all consequences arising from that content.
2.2 User Warranties
By posting User Content, you warrant that:

you own or have obtained all necessary rights, licences, permissions, and consents to publish the content;

your User Content complies with all applicable New Zealand laws and regulations, including (without limitation):
-
Copyright Act 1994
-
Defamation Act 1992
-
Privacy Act 2020
-
Fair Trading Act 1986
-
your User Content does not infringe any third-party rights, including intellectual property, privacy, or confidentiality rights;
-
your User Content is not unlawful, misleading, deceptive, defamatory, abusive, obscene, or fraudulent;
-
any statements, claims, or representations made by you are truthful, accurate, and capable of substantiation.
2.3 No Platform Liability for Content
To the maximum extent permitted by law, Infomate accepts no legal liability for User Content or Third-Party Content.
Removal of content by Infomate does not imply endorsement, verification, or liability.
3. No Monitoring Obligation
Infomate has no obligation to monitor, screen, review, verify, approve, or moderate User Content or Third-Party Content.
Any monitoring or moderation carried out by Infomate is voluntary and does not create any duty, obligation, or legal responsibility.
4. Platform Control & Enforcement Rights
4.1 Absolute Discretion
Infomate may, at any time, with or without notice and without providing reasons:
-
remove, edit, restrict, block, hide, or refuse to publish any content;
-
suspend, restrict, or terminate any user account;
-
restrict or discontinue access to any part of the Platform.
4.2 No Liability for Enforcement
Infomate is not liable for any loss or damage resulting from enforcement actions, including content removal, suspension, or termination.
4.3 Platform Changes
Infomate may modify, suspend, or discontinue any feature or part of the Platform at any time.
4.4 Content Modification & Removal Rights
Infomate reserves the right, at any time and at its sole discretion, to edit, modify, restrict, suspend, or remove any user-submitted content, Listings, or other materials on the Platform, with or without notice and without providing reasons.
Such actions may be taken for legal, regulatory, compliance, risk management, operational, formatting, or editorial purposes.
Any modification, editing, or removal of content does not:
-
imply verification, endorsement, or approval of the content;
-
make Infomate a publisher, co-author, or contributor to the content;
-
create any duty, liability, or responsibility for Infomate in relation to the content.
Infomate is not liable for any loss, damage, or consequence arising from the modification, editing, restriction, or removal of content.
5. Disclaimers & Limitation of Liability
5.1 “As Is” Basis
The Platform is provided on an “as is” and “as available” basis.
Infomate makes no warranties, express or implied, regarding availability, accuracy, completeness, reliability, security, or fitness for purpose.
5.2 Excluded Losses
To the fullest extent permitted by New Zealand law, Infomate is not liable for:
-
indirect, incidental, special, consequential, or exemplary loss;
-
loss of profits, revenue, business, goodwill, reputation, opportunities, or anticipated savings;
-
loss or corruption of data or business interruption;
-
losses arising from user interactions, transactions, or disputes.
5.3 Liability Cap
Where liability cannot be excluded by law, Infomate’s total liability is limited to the minimum amount permitted by law, and (if applicable) to resupplying the relevant service or paying the cost of resupply.
6. Indemnity
You agree to indemnify and hold harmless Infomate, its directors, officers, employees, contractors, and agents from all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

your User Content;
-
your use of the Platform;
-
your breach of these Terms;
-
your breach of any law or third-party rights;
-
any dispute between you and another user or third party.
Infomate may assume control of the defence of any indemnified claim.
7. Governing Law & Jurisdiction
These Terms are governed by the laws of New Zealand.
You submit to the exclusive jurisdiction of the courts of New Zealand.
If these Terms are translated, the English version prevails in the event of inconsistency.
8. Changes to These Terms
Infomate may amend, update, modify, or replace these Terms at any time by publishing the revised version on the Platform.
Unless otherwise stated, changes take effect immediately upon publication.
Your continued use of the Platform constitutes your binding acceptance of the updated Terms.
If you do not agree, you must immediately cease using the Platform.
9. Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision is severed to the minimum extent necessary, and the remaining provisions remain in full force and effect.
Where possible, the invalid provision will be interpreted or modified to give effect to its original intent to the maximum extent permitted by law.
10. Entire Agreement
These Terms constitute the entire agreement between you and Infomate regarding access to and use of the Platform.
They supersede all prior or contemporaneous agreements, understandings, representations, or communications, whether written or oral, including emails, messages, advertisements, help content, or marketing materials.
You acknowledge that you have not relied on any statement or representation not expressly set out in these Terms.
11. Notices & Contact
Infomate may provide notices or communications by:

publishing them on the Platform; or
-
sending electronic communications to contact details associated with your account.
Notices are deemed received at the time of publication or transmission.
Users are responsible for keeping their contact details accurate and up to date.
12. Changes to Terms & Version Control
Infomate may update, amend, or replace these Terms & Conditions, policies, or related platform rules from time to time.
Unless otherwise stated, the most current version of the Terms & Conditions published on the Infomate website will apply to all users, visitors, advertisers, and merchants.
By continuing to access, use, browse, post content, publish listings, advertise, or otherwise interact with the Infomate Platform after updated terms are published, users are deemed to have accepted the updated Terms & Conditions.
If a user does not agree to the updated Terms & Conditions, their sole remedy is to discontinue use of the Infomate Platform.
Infomate may notify users of material changes by reasonable means, including publication on the Platform, updated page notices, or other communication channels.

MARKETPLACE, COMMERCIAL & ADVERTISING TERMS

These Marketplace, Commercial & Advertising Terms (“Marketplace Terms”) apply to all commercial-related activities on the Platform.
These Marketplace Terms operate in addition to the Platform Terms & Conditions.
If there is any inconsistency, these Marketplace Terms prevail in relation to commercial, advertising, and transaction-related activities.
0. Scope of Marketplace & Commercial Sections
0.1 Broad Application
For the purposes of these Terms, “Marketplace” includes all sections of the Platform that involve or relate to commercial activity, whether directly or indirectly, including but not limited to:
-
Services (professional services, trades, consulting, personal services, digital services, etc.);
-
Market / Marketplace (new goods, second-hand goods, wholesale or retail listings);
-
Motor (cars, motorcycles, boats, vehicles, parts, or accessories);
-
Property (real estate sales, rentals, leasing, accommodation, or property-related services);
-
Advertising & Promotions (paid or unpaid advertisements, sponsored content, featured listings);
-
Any other current or future section that facilitates, promotes, enables, or relates to commercial offerings, transactions, or income-generating activities.
These Terms apply regardless of how a section is labelled or categorised on the Platform.
1. Platform Neutrality & Commercial Role
1.1 Neutral Hosting Only
All listings, advertisements, promotions, service offers, and commercial content (“Listings”) are user-generated content.
Infomate acts solely as a neutral hosting and display platform and:
-
does not verify, approve, authenticate, or validate Listings;
-
does not guarantee the accuracy, legality, safety, quality, pricing, availability, or performance of any goods or services;
-
does not guarantee that any enquiry, lead, or transaction will occur;
-
does not process, collect, hold, or transfer payments;
-
does not provide escrow, trust, settlement, or payment intermediary services;
-
does not act as an agent, broker, real estate agent, motor dealer, or service intermediary;
-
does not mediate, arbitrate, or resolve disputes.
1.2 No Transaction Party
All communications, negotiations, agreements, and transactions occur solely between users.
Infomate is not a party to any transaction and assumes no responsibility for outcomes, performance, completion, or enforcement.
2. Advertiser, Seller & Service Provider Obligations
2.1 Legal Compliance
Users who publish Listings (including sellers, service providers, agents, landlords, or advertisers) are solely responsible for ensuring that their Listings:
-
are accurate, complete, and not misleading or deceptive;
-
comply with all applicable New Zealand laws and industry regulations;
-
include all legally required disclosures;
-
do not infringe any third-party rights.
2.2 Representations
All statements, descriptions, prices, claims, images, and representations in a Listing are made solely by the user who publishes it.
Infomate does not adopt, repeat, or endorse any such representations.
3. Consumer Guarantees Act 1993 – Platform Exclusion
3.1 No Supplier Status
Infomate is not a supplier of any goods, services, vehicles, property, accommodation, or professional services advertised or promoted on the Platform.
3.2 CGA Application
To the maximum extent permitted by law, the Consumer Guarantees Act 1993 does not apply to Infomate in relation to any Marketplace or commercial activity.
Any consumer guarantees, warranties, refunds, remedies, or obligations arise solely between the relevant users.
4. Fair Trading Act 1986 – Representation Separation
4.1 User Representations Only
All representations in Listings are made by users, not by Infomate.
4.2 No Misleading Conduct by Platform
Infomate does not engage in misleading or deceptive conduct in relation to Listings or commercial content within the meaning of the Fair Trading Act 1986.
5. Payments, Contracts & Disputes
5.1 Payments
Infomate does not handle payments, deposits, bonds, fees, commissions, or settlements.
5.2 Contracts
Any contract formed is strictly between users.
Infomate is not responsible for contract terms, performance, enforcement, or breach.
5.3 Disputes
Infomate does not resolve or adjudicate disputes arising from Marketplace or commercial activities.
6. Marketplace Enforcement & Control
Infomate may, at any time, with or without notice and without providing reasons:
-
remove, edit, block, or restrict any Listing;
-
suspend or terminate user accounts;
-
limit access to commercial features.
Infomate is not liable for any loss arising from such actions.
7. Limitation of Liability (Commercial Context)
To the fullest extent permitted by New Zealand law, Infomate is not liable for losses arising from:
-
failed or incomplete transactions;
-
inaccurate or unlawful Listings;
-
defective services, vehicles, or property;
-
financial loss, missed opportunities, or reputational damage;
-
user disputes or third-party claims.
8. Indemnity (Commercial Activities)
Users agree to indemnify and hold harmless Infomate from all claims, losses, damages, liabilities, and costs (including legal fees) arising from:
-
Listings they publish;
-
services they provide;
-
goods, vehicles, or property they offer;
-
breaches of the Consumer Guarantees Act, Fair Trading Act, or other laws;
-
disputes with other users or third parties.
9. Relationship with Other Platform Terms
These Marketplace Terms operate together with:

Privacy Policy
Use of any commercial section constitutes acceptance of all applicable terms.
10. Governing Law & Jurisdiction
These Marketplace Terms are governed by the laws of New Zealand.
Users submit to the exclusive jurisdiction of the courts of New Zealand.
ACCEPTABLE USE POLICY

This Acceptable Use Policy (“Policy”) sets out the rules governing acceptable and prohibited use of the Platform.
It applies to all users, content, and activities, including community, marketplace, advertising, services, motor, property, and all other commercial or non-commercial sections.
This Policy operates in addition to the Platform Terms & Conditions and Marketplace & Advertising Terms.
If there is any inconsistency, this Policy prevails in relation to user conduct and enforcement.
1. General Use Standard
Users must access and use the Platform lawfully, responsibly, and in good faith.
You must not use the Platform in any manner that:
-
violates applicable laws or regulations;
-
causes harm to Infomate, other users, or third parties;
-
undermines the integrity, safety, security, or proper operation of the Platform.
2. Prohibited Content
Users must not upload, post, publish, transmit, advertise, or otherwise make available any content that falls within the following categories.
2.1 Unlawful, Harmful, or Abusive Content
Content that:
-
is unlawful, illegal, or promotes illegal activity;
-
is misleading, deceptive, fraudulent, or constitutes a scam;
-
is defamatory or likely to damage the reputation of others;
-
is threatening, abusive, harassing, hateful, or discriminatory;
-
incites violence, hatred, or serious harm;
-
is obscene, grossly offensive, or otherwise inappropriate.
2.2 Intellectual Property & Privacy Infringement
Content that:
-
infringes copyright, trademarks, trade secrets, or other intellectual property rights;
-
infringes privacy, confidentiality, or data protection rights;
-
discloses personal information of others without lawful authority or valid consent;
-
publishes images, videos, or information about individuals without permission where required by law.
2.3 Impersonation & Misrepresentation
Content or conduct that:
-
impersonates any person, business, authority, or organisation;
-
falsely claims licensing, accreditation, qualifications, or authorisation;
-
misrepresents identity, affiliations, or legal status;
-
creates fake accounts or uses another user’s account without permission.
2.4 Prohibited Sensitive & Regulated Content
Users must not upload, post, advertise, promote, or otherwise make available any content or Listings that involve, depict, promote, facilitate, or relate to:
-
pornographic, sexually explicit, or adult content, including escort services or sexual services of any kind;
-
any sexual content involving minors, or content that exploits, abuses, sexualises, or endangers children (zero tolerance);
-
illegal drugs, controlled substances, or drug-related paraphernalia, including instructions for manufacturing, distributing, or using illegal drugs;
-
alcohol, tobacco, vaping products, or similar regulated substances, unless expressly permitted by Infomate and fully compliant with all applicable laws (including age and advertising restrictions);
-
weapons, firearms, ammunition, explosives, or prohibited weapons, unless lawfully permitted and explicitly authorised by Infomate;
-
gambling, betting, or gaming activities that are unlawful or unlicensed;
-
any other goods, services, or content that are restricted, prohibited, or heavily regulated under New Zealand law.
Infomate reserves the right to determine, at its sole discretion, whether content falls within these prohibited or restricted categories.
3. Prohibited Conduct & Platform Misuse
Users must not:
3.1 Platform Interference
-
interfere with, disrupt, damage, or compromise the Platform, servers, networks, or systems;
-
attempt to bypass security measures, access controls, or technical safeguards;
-
introduce malware, viruses, or harmful code.
3.2 Automated or Unauthorised Use
-
use bots, scrapers, crawlers, automation tools, or scripts without prior written permission;
-
collect, harvest, or scrape data or personal information from the Platform without authorisation.
3.3 Abuse of Platform Features
-
manipulate rankings, visibility, engagement, or listings;
-
engage in spam, mass messaging, or unsolicited promotions;
-
misuse reporting, complaint, or moderation systems.
4. Commercial & Marketplace-Specific Misuse
In connection with services, marketplace, motor, property, or any commercial section, users must not:
-
post misleading, deceptive, or non-compliant advertisements or listings;
-
advertise illegal, restricted, or prohibited goods or services;
-
conceal material information required by law;
-
engage in fraudulent conduct, scams, or price manipulation;
-
use the Platform to circumvent licensing, regulatory, tax, or legal requirements.
5. No Expectation of Monitoring
Infomate does not guarantee that prohibited content or conduct will be detected or removed.
Failure by Infomate to take immediate action does not constitute approval, endorsement, or waiver of any rights.
6. Enforcement & Consequences
6.1 Enforcement Actions
Infomate may, at any time, with or without notice and without providing reasons, take any action it considers appropriate, including:
-
removing, editing, blocking, or restricting content or Listings;
-
suspending or terminating user accounts;
-
limiting access to features or sections;
-
reporting conduct to law enforcement or regulatory authorities where required by law.
6.2 No Liability for Enforcement
Infomate is not liable for any loss, damage, or consequence arising from enforcement actions taken under this Policy.
6.3 Content Editing & Enforcement Actions
Without limiting any other rights, Infomate may edit, modify, restrict, or remove any content or Listings that:
-
breach this Policy or other applicable Platform terms;
-
are unlawful, misleading, or high-risk;
-
may expose Infomate or users to legal, regulatory, or reputational harm;
-
are the subject of complaints, investigations, or enforcement actions.
Content editing or modification may be carried out to reduce risk or ensure compliance and does not constitute acceptance of responsibility for the content.
Infomate is not required to notify users before taking such actions and is not liable for any resulting loss.
7. Relationship with Other Terms
This Policy operates together with:

Platform Terms & Conditions;
-
Marketplace, Commercial & Advertising Terms;
-
Privacy Policy.
A breach of this Policy may also constitute a breach of other applicable terms.
8. Governing Law
This Policy is governed by the laws of New Zealand.
PRIVACY RESPONSIBILITY & DATA POSITIONING

This Privacy Responsibility & Data Positioning document explains how privacy responsibility is allocated between Infomate and users of the Platform.
This document operates together with Infomate’s Privacy Policy.
If there is any inconsistency, this document prevails in relation to user-submitted content and user-controlled personal information.
1. Platform Role in Relation to Personal Information
1.1 Hosting Platform Only
Infomate operates as a hosting and display platform.
Except where expressly stated in the Privacy Policy:

Infomate does not originate personal information published by users;
-
Infomate does not control the content, accuracy, or legality of user-submitted personal information;
-
Infomate does not determine the purpose for which user-submitted personal information is collected or published.
1.2 User-Controlled Content
Personal information appearing in listings, advertisements, profiles, posts, messages, comments, or other user-generated content is uploaded and controlled by users, not by Infomate.
2. User Responsibility for Personal Information
2.1 Authority & Consent
Users who upload, publish, disclose, or otherwise make personal information available on the Platform warrant that:
-
they have lawful authority to do so;
-
they have obtained all necessary consents from the individual concerned;
-
the disclosure complies with the Privacy Act 2020 and any other applicable laws.
2.2 Third-Party Personal Information
Users must not upload or disclose personal information relating to another individual unless:
-
disclosure is legally permitted; and
-
all required consents have been obtained.
This includes (without limitation):
-
names, addresses, phone numbers, email addresses;
-
identity documents;
-
images, videos, or recordings of identifiable individuals;
-
employment, financial, health, or location information.
3. Platform Limitation of Responsibility
3.1 No Liability for User Disclosure
To the maximum extent permitted by law, Infomate is not responsible for:
-
unauthorised disclosure of personal information caused by users;
-
privacy breaches arising from user-generated content;
-
misuse of personal information by other users or third parties.
3.2 Passive Intermediary Position
Infomate acts as a passive intermediary in relation to user-submitted personal information and does not assume the role of data controller for such information.
4. User Requests, Complaints & Privacy Rights
4.1 Requests Directed to the Correct Party
Requests to:
-
access;
-
correct;
-
delete; or
-
restrict
personal information contained in user-generated content should, in the first instance, be directed to the user who published the content.
4.2 Platform Assistance (Discretionary)
Infomate may, but is not obliged to, assist with privacy-related complaints by:
-
removing or restricting content; or
-
referring matters to the content uploader.
Such assistance does not constitute acceptance of liability.
5. Takedown & Risk Mitigation
Infomate may, at any time and without notice, remove or restrict access to content that:
-
may breach the Privacy Act 2020;
-
may expose Infomate to legal or regulatory risk;
-
is subject to a complaint or investigation.
Infomate is not required to determine fault or liability before taking action.
6. Regulatory Cooperation
Infomate may cooperate with:
-
the Privacy Commissioner;
-
courts;
-
law enforcement; or
-
other regulatory authorities
where required or permitted by law.
Such cooperation does not constitute a breach of confidentiality or user rights.
7. Relationship with Privacy Policy
Infomate’s Privacy Policy governs:
-
personal information collected directly by Infomate (e.g. account data, system logs);
-
how Infomate stores, uses, and protects such information;
-
how individuals may exercise rights under the Privacy Act 2020.
This document specifically addresses user-submitted personal information and responsibility allocation.
8. Enforcement & Consequences
A breach of this document may result in:
-
content removal;
-
account suspension or termination;
-
further enforcement under the Platform Terms & Conditions or Acceptable Use Policy.
9. Governing Law
This document is governed by the laws of New Zealand.
